Terms of Use

Welcome to Knowlexax LMS. These Terms of Use ("Terms") set out the rules for using our platform, website, and related tools (together, the "Services"). Please read them carefully before you sign up or use the Services.

The Services are provided by [Company Legal Name] ("Knowlexax", "we", "us", "our").

1. Who These Terms Apply To

  • Customers are individuals or businesses who create an account with Knowlexax to build, market, and sell courses, memberships, communities, or other learning products.

  • Students and Site Visitors are people who access a school, course, or community created by a Customer.

If you are a Customer, these Terms, together with any order form or written agreement between us, form a binding contract (the "Contract").

If you are a Student, you're using a Customer's school, so the Customer's own terms apply to you in addition to our rules on acceptable use.

If you sign up on behalf of a company or organization, you confirm that you have the authority to bind it to these Terms.

By creating an account or using the Services, you agree to these Terms. If you don't agree, please don't use the Services.

2. Eligibility and Accounts

  • You must be at least [18 / 16] years old to create a Customer account. Customers must make sure any Students they enroll meet the minimum age required by applicable law.

  • You must provide accurate, complete, and current information when registering, and keep it updated.

  • You are responsible for all activity under your account, and for keeping your login details confidential. Tell us immediately if you suspect unauthorized access.

  • Each account is for your own use. Please don't share administrator credentials with people outside your organization.

3. Use of the Services

You agree to use the Services only for lawful purposes and in line with these Terms. As a Customer, you are responsible for:

  • Everything published, uploaded, sold, or sent through your school, including content created by your Students or team members

  • Making sure your Students, team members, and visitors follow these Terms and your own school policies

  • Having the right to use all content, images, videos, fonts, and materials you upload

  • Complying with laws that apply to your business, including consumer protection, tax, data protection, and marketing laws

We may review activity on the platform to check for compliance, but we have no obligation to monitor content and are not responsible for what Customers or their users publish.

4. Acceptable Use

You must not use the Services to:

  • Upload, publish, or sell content that is unlawful, defamatory, harassing, hateful, obscene, sexually explicit, or that promotes violence or illegal activity

  • Infringe copyrights, trademarks, or other intellectual property or privacy rights

  • Distribute viruses, malware, or harmful code, or attempt to disrupt or gain unauthorized access to the platform or other users' accounts

  • Run fraudulent, deceptive, or misleading offers, including fake courses, fake reviews, or false income claims

  • Send spam or unsolicited bulk messages, or import contact lists without proper permission. Only contacts who have agreed to hear from you may be emailed.

  • Resell, sublicense, or provide the Services to third parties as your own platform, unless we've agreed in writing

  • Scrape, copy, reverse engineer, or attempt to extract source code from the Services

  • Use the Services mainly as a file storage or backup service

  • Bypass or avoid our payment systems or fee structures where your plan requires you to use them

We may remove content, restrict features, or suspend accounts that break these rules or create risk for us, other users, or third parties. Where possible, we'll ask you to fix the issue first, but we may act immediately where there is serious risk or legal concern.

5. AI-Powered Features

Some parts of the Services use artificial intelligence, such as course outline generation, quiz creation, content suggestions, summaries, or chat assistance.

  • Review before you rely on it. AI output may be inaccurate, incomplete, outdated, or unsuitable for your purpose. You are responsible for checking and approving anything before publishing or using it.

  • Use it lawfully. Don't use AI features to create unlawful or harmful content, infringe others' rights, or submit confidential, sensitive, or regulated information you're not authorized to share.

  • Fair usage. AI features are subject to reasonable usage limits, quotas, and rate limits. We may adjust, throttle, or restrict access where usage is excessive, automated, abusive, or affects platform performance.

  • Changes and pricing. AI capabilities, providers, limits, and pricing may change over time. We may introduce, modify, remove, or charge separately for AI features, and we'll give notice of material changes as required by law.

  • No guarantee of availability. We don't promise that any particular AI model, feature, or output quality will remain available.

  • Ownership of output. Subject to applicable law and third-party rights, you own or retain rights in AI-generated content created from your inputs. We don't claim ownership of it simply because our tools helped create it.

6. Plans, Fees, and Payments

  • Pricing. Fees for paid plans are shown at checkout, on our pricing page, or in your order form.

  • Billing. Paid plans are billed in advance on a monthly or annual cycle, as you select. You authorize us and our payment partners to charge your chosen payment method for all applicable fees and taxes.

  • Free trial. New Customers may receive a free trial of [30 days]. [Choose one: No payment details are required to start a trial / Payment details are required, and you'll be charged automatically when the trial ends unless you cancel.] If you don't upgrade, your account may move to a limited plan or be paused.

  • Taxes. Fees don't include taxes, duties, or levies unless stated. You are responsible for any taxes that apply to your purchase.

  • Price changes. We may change pricing or plan features. We'll give reasonable notice, and changes will apply from your next billing cycle.

  • Refunds. Unless stated otherwise in your order form or required by law, fees are non-refundable, and we don't provide partial refunds for unused time. [Adjust to match your actual refund policy.]

  • Late or failed payments. If a payment fails or remains overdue, we may pause paid features or move your account to a free or limited plan after giving notice. This may reduce features or limit access to your content.

  • Fair usage. Plans described as "unlimited" are subject to reasonable, fair use.

  • Your students' payments. When you sell to your Students, you are the seller. You're responsible for your own pricing, refunds, taxes, and customer service. Payments are processed through third-party gateways, whose terms also apply. We aren't responsible for their actions or downtime.

7. Multiple Sites and Agencies

If your plan lets you create more than one site:

  • Plan limits (such as emails, storage, and students) are shared across all sites in your account

  • You may only create sites that you own or operate as your own business

  • Running client sites through your account or using it as an agency service is not allowed unless you have a plan or written agreement that permits it

8. Ownership and Content

Your content is yours. You keep ownership of everything you create or upload, including courses, videos, pages, files, and student data ("Customer Content").

License to us. You give us a worldwide, non-exclusive license to host, store, process, copy, display, and transmit your Customer Content, solely to operate, secure, support, and improve the Services, to comply with law, and as otherwise permitted by you. You confirm you have all rights needed to grant this license, including from your Students where required.

Our platform is ours. Knowlexax, including its software, design, features, branding, and related intellectual property, belongs to us and our licensors. We give you a limited, non-exclusive, non-transferable right to use the Services in line with these Terms. No other rights are granted.

Feedback. If you send us ideas or suggestions, we may use them freely without obligation to you.

9. Data and Privacy

We handle personal data as described in our Privacy Policy. As a Customer, you are typically responsible for how you collect and use your Students' data, including providing privacy notices and getting any consents required by law. We process Student data on your instructions.

10. API and Integrations

  • API access is available only on plans that include it, and only for lawful, reasonable use within stated limits.

  • You may not use the API to build a competing product or bypass usage limits.

  • We may suspend API access that harms performance or breaks these Terms.

  • Third-party integrations are governed by the third party's own terms. We aren't responsible for their services.

11. Using the Knowlexax Name and Logo

You may refer to Knowlexax in a truthful way (for example, "built with Knowlexax"), but you may not:

  • Use our name or logo in a way that suggests we endorse, sponsor, or are affiliated with you

  • Register domain names, business names, product names, or social handles that include "Knowlexax" or a confusingly similar variation

  • Alter our logo, or present our software as your own

  • Sell merchandise using our name or logo

For permission to use our branding beyond these limits, please contact us.

12. Term and Termination

  • By you. You can cancel your subscription or close your account at any time from your account settings or by contacting support. Cancellation stops future billing but doesn't usually entitle you to a refund for time already paid.

  • By us. We may suspend or terminate your account if you materially breach these Terms and don't fix it within [30] days of notice, or immediately if your use is unlawful, fraudulent, or creates serious risk to the Services or others. We may also close inactive free accounts after giving [30] days' notice.

  • Renewals. Unless your order form says otherwise, paid plans renew automatically for the same billing period until cancelled. You can cancel before the next renewal date to avoid further charges.

  • After termination. Your access ends, and unpaid fees remain due. You should export your data before closing your account. After termination, we may delete your content after a reasonable period unless the law requires us to keep it. Export options may vary by plan.

  • Survival. Provisions that by nature should survive termination (such as ownership, payment obligations, liability limits, and indemnities) will remain in effect.

13. Disclaimers

The Services are provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

We don't guarantee that the Services will be uninterrupted, error-free, or completely secure, or that any particular business result, revenue, or student outcome will be achieved. Success depends on many factors outside our control.

14. Limitation of Liability

To the fullest extent permitted by law:

  • Knowlexax will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, however caused.

  • Our total liability for any claim arising from these Terms or the Services will not exceed the amount you paid us in the twelve (12) months before the event giving rise to the claim.

We aren't liable for losses caused by unauthorized use of your account where login details weren't kept secure, or for events outside our reasonable control (see Force Majeure below).

Nothing in these Terms excludes liability that cannot be excluded under applicable law.

15. Indemnification

By you. You agree to defend and compensate Knowlexax, its affiliates, and team members against third-party claims, losses, and reasonable legal costs arising from your Customer Content, your breach of these Terms, your violation of law, or your users' actions on your school.

By us. We will defend you against third-party claims alleging that the Services themselves, as we provide them, infringe that party's intellectual property rights, except where the claim arises from your content, third-party products, unauthorized modifications, or misuse. This is your sole remedy for such claims.

The indemnified party must give prompt notice and reasonable cooperation, and allow the indemnifying party to control the defense and settlement.

16. Confidentiality

Each party agrees to keep the other's non-public business, technical, and financial information confidential, use it only for the purpose of the Contract, and protect it with reasonable care. This doesn't apply to information that is public, already known, independently developed, or lawfully received from someone else. Confidential information may be disclosed where required by law, with prior notice where legally permitted.

17. Publicity and Testimonials

Unless you tell us otherwise by emailing [support email], we may display your business name and logo as a customer reference on our website and marketing materials.

If you submit a testimonial, review, photo, or video about Knowlexax, you give us permission to use it in our marketing, and to edit it lightly for length or clarity. You will not be paid for this use. You may ask us to stop future use at any time by contacting us.

18. Force Majeure

Neither party is responsible for delay or failure caused by events beyond its reasonable control, including natural disasters, war, terrorism, strikes, government action, utility or hosting failures, internet outages, or cyberattacks.

19. Changes to These Terms

We may update these Terms as our business and the law change. For material changes, we'll give reasonable notice by email or within the platform before they take effect. Other updates take effect when posted. Continuing to use the Services after changes take effect means you accept the revised Terms.

20. General Provisions

  • Entire agreement: These Terms, along with any order form and referenced policies, are the complete agreement between us on this subject and replace earlier agreements.

  • Order of priority: If documents conflict, the order form prevails, then these Terms, then other referenced policies.

  • Severability: If any part is found unenforceable, the rest stays in effect.

  • No waiver: Delay in enforcing a right isn't a waiver of it.

  • Assignment: You may not transfer your rights under these Terms without our written consent. We may assign ours in connection with a merger, acquisition, or sale of assets.

  • Relationship: We're independent parties. Nothing creates a partnership, agency, or employment relationship.

  • No third-party beneficiaries: These Terms don't give rights to anyone else.

  • Notices: We may send notices to the email on your account or through the platform. Notices to us should go to [support email].

21. Governing Law and Disputes

These Terms are governed by the laws of [Country / State, e.g., India], without regard to conflict-of-law rules.
